Abstract
Ugovor o preuzimanju duga jedna je od pravnih osnova koja predstavlja promjenu dužnika. Ugovor o preuzimanju duga primjenjivan je kroz povijest, još od rimskog doba do danas. U to je vrijeme sastavni element njegovih pravnih učinaka bio pristanak vjerovnika na takav ugovor, što je danas slučaj i u domaćem, kao i u komparativnom zakonodavstvu. Ugovorom između dužnika i prenosioca, dužnik je u potpunosti oslobođen obveza, dok stjecatelj stječe obveze. Ovo pravno načelo u potpunosti je prihvaćeno poslovnom praksom, prije svega zbog određene zaštite koja se nudi vjerovniku. Međutim, primijećene su određene mogućnosti za zlouporabu ovog pravnog načela, što je i razlog što sudska praksa izričito tvrdi potrebu za njezinim detaljnijim uređenjem.
Abstract (english)
Contract of assumption of debt is one of the legal bases constituting the change of debtor. Contract of assumption of debt was applied troughout the history, since Roman era up to this day. In that time, the constitute element of its legal effects was the consent of the creditor to such a contract, which is also the case today in domestic, as well as in comparative legislations. By means of a contract made between a debtor and a transferee, the debtor is fully freed of obligations while the transferee acquires the obligations. This legal principle is fully embraced by business practice, first and foremost due to a certain protection offered to the creditor. However, certain opportunities for the misuse of this legal principle were observed, which is the reason why jurisprudence specifically asserts the need for its more detailed regulation.
