Abstract
Dioničko društvo je društvo kapitala. To je trgovačko društvo u kojemu dioničari sudjeluju s ulozima u temeljnom kapitalu. Temeljni kapital podijeljen je na dionice. Osnivanje dioničkog društva je složen postupak. Prema Zakonu o trgovačkim društvima postoje dva načina osnivanja dioničkog društva: simultano i sukcesivno osnivanje. Kod simultanog osnivanja društva dolazi do preuzimanja svih dionica od osnivača odjednom. Ujedno, tada se usvaja i potpisuje statut društva, kao i izjava o osnivanju dioničkog društva. S druge strane, kod sukcesivnog osnivanja društva, prvo osnivači društva usvajaju statut, a zatim daju izjavu o osnivanju i preuzimanju dionica za samo jedan dio dionica. Nakon toga objavljuju javni poziv putem kojega pozivaju zainteresiranu javnost za upis i uplatu dionica. Dioničko društvo je osnovano upisom društva u sudski registar.
Abstract (english)
A joint stock company is a capital company. It is a company in which shareholders participate with shares in the share capital. The share capital is divided into shares. Establishing a joint stock company is a complex process. According to the Companies Act, there are two ways of establishing a joint stock company: simultaneous and successive establishment. With the simultaneous establishment of a company, all shares are taken over from the founders at once. At the same time, the company's statute is adopted and signed, as well as the statement on the establishment of the joint stock company. On the other hand, in the case of successive establishment of a company, first the founders of the company adopt the statute, and then give a statement on the establishment and takeover of shares for only one part of the shares. After that, they publish a public call inviting interested public to subscribe and pay for shares. The joint stock company was established by registering the company in the court register.
