Abstract
Zakon o obveznim odnosima regulira nevaljanost pravnog posla s time da poznaje dvije vrste, a to su ništetnost i pobojnost. Ova dva instituta od velike su važnosti za sve pravne poslove . Sam zakon propisuje koje su pretpostavke valjanosti ugovora, a isto tako propisuje koji su razlozi ništetnosti i pobojnosti o kojima ćemo detaljnije u samome radu. Kod ovih ugovora postoji opcija konvalidacije ili pak konverzije. Ništetnost i pobojnost utječu na samo postojanje posla stoga je potrebno što prije pokušati otkloniti nedostatke ili prilikom sklapanja ugovora obratiti pozornost da sve pretpostavke budu ispunjene kako poslije ne bi bilo poteškoća. Za ništetni pravni posao smatra se da nije ni nastao dok pobojni pravni posao proizvodi učinke iako postoje nedostaci. Oni su otklonjivi i o volji suugovaratelja ovisi hoće li se pobojni ugovor poništiti ili će pak proizvoditi pravne učinke.
Abstract (english)
The Law on Obligationis regulates invalid contract and ther is two forms of invalid : nullity and voidability. These two institutes are of great importance for all legal affairs. The law itself provides assumptions for validity of the contract, but it also establish that the reasons for becoming null or void, more detail is coming soon in the papire. This contracts have the options of convalidation or conversion. Nullity and voidability affect very existence o legal affairs so it is necessary to try to eliminate shortage, during signing it is necessary to pay attention on all needed parts so there is no difficulty. Nullity contrac it is considered as if he does not exist while voidable contract exist even if there is shortage. Disadvantages are removable and it depends on will voidable contract may be voidable or they may produce legal effects.
