Abstract | Pripajanja i spajanja, s posebnim naglaskom na prekogranična spajanja unutar Europske Unije, glavna su tema ovog rada. Kao jedan od najkorištenijih i najosnovnijih pravnih mehanizama za različite oblike poslovnih aktivnosti, pripajanja i spajanja danas čine jednu od glavnih tema prava društava, i na regionalnoj i na svjetskoj razini. Iako postoji mnoštvo studija, literature i pravnih slučajeva na zadanu temu, ovaj rad će se baviti specifičnostima vezanim uz prekogranična spajanja i pripajanja unutar Europske Unije, analizirajući jedan od temeljnih pravnih akata europskog prava društava, Desetu direktivu o prekograničnim pripajanjima i spajanjima, znanu i kao Direktivu 2005/56/EC. Isprva, rad će pružiti povijesni pregled razvoja pripajanja i spajanja kao pravnog instrumenta, uz sažeti pregled alternativa dostupnih društvima na tržištu Europske Unije. Rad će se tada fokusirati na samu Direktivu i njezine odredbe. Nakon toga, rad će se kritički osvrnuti na djelovanje zakonskog okvira te raspraviti zadovoljava li isti potrebe golemog i kompleksnog europskog korporativnog tržišta. Naposljetku, rad će pružiti kratak pregled prikazanog te se osvrnuti na ono što nam donosi budućnost u svijetu pripajanja i spajanja u Europskoj Uniji. |
Abstract (english) | The Mergers & Acquisitions with the special focus on cross-border activities within the EU, and the following legal mechanisms, will be the main research objective of this paper. The M&A represents one of the most thoroughly researched topics in both scholastic, non-businesswise sphere as well as in the business practices, globally. As one of the commonly used, basically on a daily basis as we shall see, and the crucial legal mechanisms for various business activities, the M&A represents one of the company law’s main subject, both locally and globally. Although there is a large amount of studies, literature and case law existing on the topic examined, this paper shall cover only the particularities of the cross-border European Mergers & Acquisitions, analyzing one of the crucial legal acts of the European Company law – the Tenth Company Law Directive, also know as Cross-Border Merger Directive (Directive 2005/56/EC). Firstly, the thesis shall provide the historical overview of the M&A as a tool, followed by the examination of alternatives available for the companies on the Company law scene, regarding the M&A, within European Union. The focus on Directive shall remain and represent the very core of the thesis. Afterward, the thesis shall determine if M&A cross-border Legislation, in the EU, is actually suitable for the immense and sophisticated European corporate world. Lastly, the thesis shall provide a rundown and discuss what holds the future for the M&A in Europe, which is constantly evolving, as it will be displayed. |
