Abstract
Zastupanje je očitovanje volje i poduzimanje pravnih radnji u ime i za račun zastupanog s neposrednim učinkom zastupanog. Temeljni pravni izvor zastupanja u Republici Hrvatskoj je Zakon o obveznim odnosima, a poseban izvor je Zakon o trgovačkim društvima. Ovlasti za zastupanje temelje se na: zakonu, aktu ovlaštenog organa ili punomoći. Zakonski zastupnici trgovačkog društva svoju ovlast za zastupanje crpe neposredno iz odgovarajućih zakona i za to im nisu potrebani neki posebani akti nadležnih organa društva. Pored zakonskog zastupnika, trgovačko društvo može zastupati i osoba kojoj je dana punomoć. Takvu punomoć mogu dati one osobe koje su zastupnici nekog trgovačkog društva po zakonu jer to ulazi u opseg poslova za koje su oni ovlašteni. Zakon o trgovačkim društvima posebno uređuje četiri instituta vezana uz punomoć: punomoćnik po zaposlenju, trgovačka punomoć, trgovački putnik te prokura.
Abstract (english)
Representation is a manifestation of the will and the taking of legal actions in the name and for the account represented with the direct effect represented. The basic legal source of representation in the Republic of Croatia is the Law on Obligations, and a special source is the Company Law. Representative powers are based on: the law, the act of the authorized body or the power of attorney. The legal representatives of the company have the power to represent them directly from the relevant provisions of the law and for this there is no need for a special act of the competent body of the company. In addition to a legal representative, a company may represent the one who is authorized by the power of attorney given to him by the company. The power of attorney is given by persons who are members of the company under the law because it enters the scope of the work for which they are authorized. The Law on Companies specifically defines four institutes in relation to the power of attorney: a proxy for employment, a commercial power of attorney, a trade traveler and a procurator.
