Abstract
Ugovor o distribuciji predstavlja novu vrstu ugovora koji je sve zastupljeniji u domaćoj poslovnoj praksi. Iz naziva tih ugovora vidljiva je i njihova ekonomska funkcija, a to je distribucija robe i usluga. Ugovor o distribuciji je tipičan ugovor trgovačkog autonomnog prava, to je pravni posao sui generis. To je ugovor između proizvođača i distributera u kojem distributer prema trećima nastupa u svoje ime i za svoj račun preuzimajući obvezu unapređenja prodaje. Predmet ugovora o distribuciji je ustupanje prava ili isključivih prava prodaje određene robe proizvođača za određeno područje ili određeni proizvod. U radu se iznose obaveze distributera i proizvođača i bitni sastojci ugovora. Analiziraju se vrste ugovora o distribuciji koji se najčešće pojavljuju u poslovnoj praksi, ugovor o isključivoj distribuciji, ugovor o selektivnoj distribuciji i ugovor o isključivoj kupnji. S obzirom da je ugovor o distribuciji po svojoj prirodi i svrsi ugovor koji sadrži restriktivne klauzule i dovodi do ograničavanja tržišnog natjecanja, u radu ćemo se dotaknuti utjecaja ugovora o distribuciji na tržišno natjecanje.
